THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MUST REVIEW THIS DOCUMENT IN ITS ENTIRETY, INCLUDING THE DISPUTE RESOLUTION SECTION BELOW, BEFORE USING THE PLATFORM.

THESE TERMS OF SERVICE GOVERN YOUR SUBSCRIPTION TO AND USE OF THE PLATFORM AND SERVICES. PLEASE READ THESE TERMS OF SERVICE CAREFULLY. CAPITALIZED TERMS HAVE THE DEFINITIONS SET FORTH HEREIN. BY COMPLETING THE REGISTRATION PROCESS, CREATING AN ACCOUNT OR ACCESSING OR USING ANY OF THE PLATFORM AND/OR SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH US WEBSTUDIO LLC, (3) THE INFORMATION YOU PROVIDED IN CONNECTION WITH YOUR REGISTRATION FOR THE PLATFORM/SERVICES IS TRUE, ACCURATE AND COMPLETE, AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS OF SERVICE PERSONALLY OR ON BEHALF OF THE BUSINESS ENTITY YOU HAVE NAMED AS THE USER, AND TO BIND THAT BUSINESS ENTITY TO THE AGREEMENT. CERTAIN PORTIONS OF THE PLATFORM MAY BE SUBJECT TO “OPEN SOURCE” OR “FREE SOFTWARE LICENSES”. SUCH COMPONENTS WILL BE GOVERNED BY THE TERMS OF THEIR RESPECTIVE TERMS OF USE AND NOT BY THESE TERMS.

ONCE ACCEPTED, THESE TERMS OF SERVICE, IN COMBINATION WITH OUR PRIVACY POLICY, DATA PROCESSING AGREEMENT, AND AFFILIATE AGREEMENT (WHEREVER APPLICABLE) (COLLECTIVELY THE “TERMS”), BECOME A BINDING LEGAL COMMITMENT BETWEEN YOU (OR THE BUSINESS ENTITY THAT YOU REPRESENT) AND US WEBSTUDIO LLC, AND ITS RESPECTIVE OFFICERS, DIRECTORS, BUSINESS AFFILIATES, SUCCESSORS AND ASSIGNS (HEREINAFTER REFERRED TO AS “US WEBSTUDIO LLC,” “WE” OR “US”) AND WILL GOVERN YOUR ACCESS TO AND USE OF THE PLATFORM AND ALL OTHER INTERACTIONS WITH US WEBSTUDIO LLC RELATED TO THE PLATFORM.

US WEBSTUDIO LLC reserves the right to make changes to these Terms at any time. All changes are effective immediately when posted. Your continued use of the Platform following the posting of any revised Terms constitutes your acceptance and agreement to the updated Terms.

US WEBSTUDIO LLC is only providing the Platform for your business use without any promise of exclusivity. US WEBSTUDIO LLC’s customers, users, entrepreneurs, affiliate marketers, experts, and partners are not US WEBSTUDIO LLC’s employees, contractors, or representatives. US WEBSTUDIO LLC is not responsible for any interactions between you and your customers, other than providing access to the Platform. US WEBSTUDIO LLC is in no way liable for any disputes, claims, losses, injuries, or damages arising from your relationship with your customers, including their reliance upon any information or content you provide. You agree and acknowledge that you are responsible for implementing your own terms of service to govern the relationship between you and your customers.

You should consult a lawyer for legal advice to ensure your use of the Platform complies with these Terms and applicable law.

1. Use of Platform

1.1 Restrictions. You must be at least 18 years old to use the Platform. You may not use the Platform if you are an employee, partner, or director of our Competitors or intend to gain access to compete with the Platform.

1.2 Platform Account Ownership. You must provide complete and accurate information when registering. If multiple parties claim ownership of an account, US WEBSTUDIO LLC will suspend until resolved.

1.3 Intended Use. You and your customers may use the Platform only for lawful purposes. You are responsible for your actions, your employees’ actions, and your customers’ actions.

1.4 Compliance. You are solely responsible for compliance with all applicable laws, including HIPAA, PCI, and other privacy laws.

1.5 Privacy. By using the Platform, you consent to US WEBSTUDIO LLC’s Privacy Policy. You must enforce your own privacy policy with your customers. Contact: info@gewebstudio.ch

1.6 Login Credentials. You are responsible for maintaining account security. Notify US WEBSTUDIO LLC immediately at info@gewebstudio.ch of any unauthorized access.

1.7 Use of Communication Services. You are solely responsible for compliance with laws like TCPA, CAN-SPAM, etc.

1.8 Third Party Services. Integration is at your own risk. US WEBSTUDIO LLC is not responsible for third-party services.

1.9 Third Party Content. US WEBSTUDIO LLC is not responsible for third-party content accessed via the Platform.

1.10 Excessive Use Restrictions; Trials. US WEBSTUDIO LLC may limit, suspend, or terminate accounts for excessive or abusive usage. Trial abuse is prohibited.

1.11 Platform Updates. US WEBSTUDIO LLC may update or change the Platform at any time.

1.12 International Use. Users in embargoed or sanctioned countries are prohibited.

1.13 Artificial Intelligence Acceptable Use. AI features must comply with Exhibit B.

1.14 Domain Names. Domain purchases through the Platform are registered by US WEBSTUDIO LLC.

1.15 Customer Account Transfer Requests. Transfers require approval.

1.16 Bug Bounty Program. No unauthorized testing or probing permitted.

1.17 Certification Program. Certification is individual and non-transferable.

1.18 Ecommerce. You are solely responsible for any goods or services sold using the Platform.

2. White Labeling and Resale MAP Policy

Details apply to resellers, including MAP rules, subscription pricing, and restrictions on lifetime licenses.

3. Code of Conduct (Exhibit A)

Prohibited uses include: unlawful activity, impersonation, spamming, malicious code, unauthorized access, child exploitation, hate or violence, fraudulent conduct, misinformation, academic dishonesty, illegal or harmful goods/services, and misuse of AI.

4. Payment

Covers fees, billing, wallets, late payments, cancellations, refunds, and taxes. All fees are non-refundable.

5. Affiliate Program

Participation subject to separate Affiliate Agreement.

6. Intellectual Property

All content, marks, and Platform materials belong to US WEBSTUDIO LLC or licensors. DMCA requests:

7. Disclaimers

The Platform is provided “as is” without warranties. US WEBSTUDIO LLC is not responsible for third-party services or downtime.

8. Limitation of Liability, Indemnification, and Mitigation

Liability limited to amounts paid in the last 3 months. No liability for special, indirect, or consequential damages. You agree to indemnify US WEBSTUDIO LLC against claims arising from your use.

9. Limitation on Time to File Claims

Claims must be filed within 3 months of the event.

10. Injunctive Relief

US WEBSTUDIO LLC may seek injunctive relief without posting bond.

11. Waiver and Severability

Failure to enforce rights is not a waiver. Invalid provisions do not affect remaining terms.

12. Change of Control

US WEBSTUDIO LLC may assign its rights at any time.

13. Entire Agreement

These Terms, plus any separate agreement, form the entire agreement.

14. Term and Termination

US WEBSTUDIO LLC may suspend or terminate your account at any time.

15. Applicable Law, Binding Arbitration, and Class Action Waiver

Governed by Texas law. Disputes resolved by binding arbitration in Dallas, TX. No class actions permitted.

Includes definitions for Communication Surcharges, Competitor, Feedback, Fees, Marks, Information, Login Credentials, Materials, Platform, Platform Account, Platform Content, Prohibited Uses, Services, Sub-Account, Third Party Content, Third Party Services, Training, User Contributions, and You.

Exhibit B – Artificial Intelligence Acceptable Use Policy

Rules for lawful and ethical use of AI features, including prohibition of discrimination, misinformation, malicious activity, unauthorized advice, or misuse of confidential data.
